What does Aquaflow do?
Aquaflow is a young company, having been incorporated in October 2005.  Its objective is to make biofuel from wild algae.
Where is Aquaflow based?

The company’s office is in Nelson, New Zealand.  Aquaflow is conducting ongoing laboratory and field development work in the Marlborough region of New Zealand’s South Island.

Who are the directors?

The directors of the company are Vicki Buck, Nicholas Gerritsen, Barrie Leay and David Milroy. 

What is Aquaflow’s share trading history?

Aquaflow raised initial capital in the New Zealand market without a prospectus and was therefore limited to investors who were close business associates and relatives of the directors.

 

Aquaflow issued its first Prospectus and Investments Statement to raise money from the public in December 2006.  This offer closed on 31 March 2007.  The subscription price for shares at that time was $0.50 per share.  

 

Since then, Aquaflow’s shares have been subject to a 1 for 3.122 split.  This means that each share that existed immediately before the share split, is now 3.122 shares.  This was done to expand Aquaflow’s share base which will, in turn, facilitate trading.

 

Currently, Aquaflow has approximately 90 million shares on issue to approximately 90 shareholders.  The vast majority of these shareholders are New Zealand investors, but there is also a small but significant contingent of overseas investors, both companies and individuals.

Are there any financial statements or other information that I can review before I decide to invest?

The audited financial statements for the year ended March 2008 are currently being prepared. 

 

You can access a copy of Aquaflow’s Prospectus and Investment Statement from the archived documents link on the website.  While the financial and shareholding information is entirely out of date (the offer closed on 31 March 2007), the Prospectus and Investment Statement will provide some information about the company, its activities and its directors which is still relevant.

What is the purpose of this informal market?

Note: Operation of this market has been suspended while the company contemplates a capital raise later in 2008.

The trading facility will enable existing shareholders in Aquaflow to sell some/all of their shares.  The facility is also created to allow new investors a chance to buy shares in Aquaflow and thus participate in this exciting venture.

 

Due to legislative constraints, the facility is only designed for share transactions in respect of any one shareholder, of up to NZD$200,000 in value in any one year.  If you are wanting to purchase/sell shares over this value within the timeframe of a year, you cannot use the facility.

 

The facility is not a capital raising activity for the company.  It is not a further issue of shares in Aquaflow, but merely a trading facility for existing shares.  It is a matching facility only, to enable buyers and sellers to meet and trade in private share sales. 

 

Aquaflow does not, and will not get involved in the process in any way after matching prospective buyers and sellers.  Aquaflow will not assist you in the negotiations to buy/sell shares, including as to the price of the shares.  You must use your own judgment and seek independent legal/financial advice if you have any queries in relation to the facility.  If you choose to use the facility, you must comply with the Rules for Trading Shares in Aquaflow (a copy of the Rules has been posted on Aquaflow’s website).  Please read those Rules carefully to ensure that you understand how the facility works.

Are there any risks associated with investing in Aquaflow?

Investment in Aquaflow carries all the usual risks involved in investing in a startup company, particularly where the company is involved in new/trial technologies.  You should seek independent legal/financial advice before making the decision to invest.

Will there be any investors that Aquaflow will not approve?

The securities legislation governing investment by United States’ citizens is particularly difficult for a New Zealand company to ensure compliance with.  Consequently, the directors of Aquaflow will generally not approve any investors from the Unites States.

I’ve heard that Aquaflow is involved with Boeing in jet-fuel trials.  Is this true?

Yes, we understand that Boeing is looking at a number of possible non fossil sources for jet-fuel and it has been working with Aquaflow in this regard.
